Section 5.38 Creation of the Expense Fund. There is hereby created and established with the <br />Trustee a trust fund in the name of the Issuer to be designated "City of Ramsey, Minnesota Lease <br />Revenue Refunding Bonds (PACT Charter School Project) Series 2013 Expense Fund." <br />Section 5.39 Payments in the Expense Fund. The Trustee shall transfer available amounts <br />from the Revenue Fund pursuant to Section 5.04(f) to the Expense Fund. <br />Section 5.40 Use of Moneys in the Expense Fund. Amounts deposited in the Expense Fund <br />shall be applied by the Trustee to pay 1/12 of the annual Rating Agency fee and the monthly cost of any <br />other expenses required to be paid by the Company pursuant to the [Loan Agreementl. investment <br />earnings on amounts held in the Expense Fund shall be credited as received to the Revenue Fund. <br />Amounts, if any, remaining in the Expense Fund upon the payment in full of all Bonds, or the <br />provision for payment therefor in accordance with the terms of this Indenture, shall be transferred to the <br />Company. <br />Section 5.41 Custody of the Expense Fund. The Expense Fund shall be in the custody of the <br />Trustee, but in the name of the Issuer, and the Issuer hereby authorizes and directs the Trustee to <br />withdraw funds from the Expense Fund for the purposes set forth in Section 5.40 hereof, which <br />authorization and direction the Trustee hereby accepts. <br />(The remainder of this page is intentionally left. blank.) <br />31 <br />5600797v1 <br />
