as directed, authorized or approved by all governmental bodies having authority
<br />to regulate the permitting, handling, or cleanup of Hazardous Materials. Tenant
<br />shall promptly notify Landlord of any such Discharge and shall keep Landlord
<br />advised of all actions by Tenant and/or governmental bodies.
<br />12.2.2 Tenant shall indemnify, defend and save Landlord harmless from
<br />and against any suits, actions, legal or administrative proceedings, demands,
<br />claims, liabilities, fines, penalties, losses, injuries, damages, expenses or costs,
<br />including interest and reasonable attorney's fees, in any way connected with any
<br />injury to persons or damage to property or any loss or cost to Landlord occasioned
<br />in any way by a violation of any Environmental Laws (as hereinafter defined) or
<br />Discharge of Hazardous Materials on the Premises, regardless of whether such
<br />Discharge occurred before Tenant's occupancy or after termination of Tenant's
<br />occupancy, or originated from real estate adjacent to the Premises.
<br />12,2.3 For the purposes of this Agreement:
<br />(1) "Hazardous Materials" shall mean any substance: (A) the presence
<br />of which requires investigation or remediation under any Federal,
<br />state or local statute, regulation, ordinance, order, action or policy
<br />or common law; (B) that is or becomes defined as a "hazardous
<br />waste" or "hazardous substance" under any Federal, state or local
<br />statute, regulation or ordinance; (C) that is toxic, explosive,
<br />corrosive, flammable, radioactive, carcinogenic, mutagenic or
<br />otherwise hazardous and is or becomes regulated by any domestic
<br />governmental authority, agency, department, commission, board,
<br />agency or instrumentality; (D) the presence of which on the
<br />'Premises causes a nuisance to adjacent properties or poses a hazard
<br />to the health or safety of persons on or about the Premises; (E) that
<br />contains gasoline, diesel fuel or other hydrocarbons; or (F) that
<br />contains PCBs, asbestos or urea' formaldehyde foam insulation,
<br />(2) `Environmental Laws" shall mean the comprehensive
<br />Environmental Response, compensation and Liability Act of 1980,
<br />as amended by the Superfund Amendments and Reauthorization
<br />Act of 1986; the Resource Conservation and Recovery Act of
<br />1976, as amended by the Used Oil Recycling Act of 1980, the
<br />Solid Waste Disposal Act Amendments of 1980, and the
<br />Hazardous and Solid Waste Amendments of 1984; the Federal
<br />Water Pollution Control Act, the Federal Clean Air Act; the laws
<br />of the state in which the Premises is located relating to clean water,
<br />solid waste disposal, clean air, and hazardous substances, together
<br />with all other laws (including rules, regulations, codes, plans,
<br />injunctions, judgments, orders, decrees, rulings, and charges there
<br />under) of federal, state, local and foreign governments (and all
<br />agencies thereof) concerning pollution or protection of the
<br />environment, including laws relating to emissions, discharges,
