PURCHASE AND SALE <br />AGREEMENT <br /> <br /> This Agreement ("Agreement") entered into by and between the <br />County of Anoka, a politicalsubdivision of the State of Minnesota, <br />the City of Anoka, a municipal corporation, the City of Ramsey, a <br />municipal corporation, and Waste Management of Minnesota, Inc., a <br />Minnesota corporation. <br /> <br /> WITNESSETH: <br /> <br /> WHEREAS, the County of Anoka, the City of Anoka 'and the City <br />of Ramsey (the "Municipal Parties") joined together by Joint Powers <br />Agreement to form a Landfill Board to jointly manage and operate <br />a methane gas extraction project; and <br /> <br /> WHEREAS, the Landfill Board ceased to exist as of December 31, <br />1989, at which time assets of the Board under the terms of the <br />Joint Powers Agreement were distributed in shares proportionate to <br />the respective loan contributions of the Municipal Parties; and <br /> <br /> WHEREAS, the only remaining property of the Landfill Board to <br />be distributed is a pipeline constructed by the Board between the <br />landfill operated by Waste h~nagement of Minnesota, Inc. ("Waste <br />Management"), located on the S ~ of the SE ~ of Section 22, <br />Township 32, Range 25, and the N ½ of the NE ¼ of Section 27, <br />Township 32, Range 25, Anoka County, Minnesota and the premises of <br />Waltek, Inc., located at 14310 Sunfish Lake Boulevard, in the City <br />of Ramsey, Anoka County, Minnesota; and <br /> <br /> WHEREAS, Waste Management cooperated with the pilot project <br /> administrated by the Landfill Board and has expressed interest in <br /> <br /> <br />
