as determined by WM~4I; injunctions or restraining orders; failure <br />of any governmental body to issue or grant licenses, permits or <br />other authorizations necessary, for the construction and/or <br />operation of the Property as determined by WMMI; national defense <br />requirements; labor strike, lockout or injunction. Notwith- <br />standing anything otherwise set forth in this Agreement, in the <br />event WMMI at any time during the term hereof shall determine <br />that it is no longer economically feasible, by reason of federal, <br />state or local governmental action or otherwise, to continue its <br />operations of a Sanitary Landfill at the Property, WMMI shall <br />have the option to suspend or terminate deposition of solid waste <br />at the Property, and upon such suspension, payments hereunder <br />shall likewise be suspended, and upon permanent termination of <br />the deposition by WMMI of solid waste at the' Property, all <br />payments hereunder shall cease, provided that WMMI shall not be <br />relieved of any Minnesota Pollution Control Agency or Anoka <br />County permit or license requirements otherwise applicable to the <br />cessation of its operation of a Sanitary Landfill at the <br />Property. <br /> <br /> 8. Assignment. The City shall not sell, assign or convey <br />its interest in this Agreement without the prior written consent <br />of WMMI, which consent WMMI may give or withhold in its sole <br />discretion. WMMI shall not sell, assign or convey its interest <br />in the Property and its obligations under this Purchase Price <br />Payment Agreement without the prior written consent of the City <br />which consent shall not be unreasonably withheld, and upon any <br />such sale, assignment or conveyance, WMMI shall thereupon be <br />entirely freed of all obligation or liabilities hereunder, pro- <br />vided that the assignee assumes, in full, the obligations of WMMI <br />under this Agreement. <br /> <br />- 5 - 6/21/84 <br /> <br /> <br />
