9. Meanin~ of Terms. Wherever the words "the City" and <br />"WMMI" appear in this Agreement, they shall include the parties <br />and their respective successors and assigns. <br /> <br /> 10. No Joint Venture. Nothing contained herein shall be <br />construed to make the parties hereto partners or joint venturers, <br />nor shall either party hereto be entitled to bind the other in <br />any manner by its actions. <br /> <br /> 11. Entire Agreement. This Agreement supersedes any prior <br />oral or written agreement between the parties (other than the <br />Lease described in Section 13 of the Real Estate Purchase and <br />Sale Agreement identified in Section 4 hereof) and together with <br />said Lease, said Purchase Agreement and the documents and instru- <br />ments referred to therein and executed and delivered pursuant <br />thereto constitutes the entire understanding of the parties with <br />respect to the matters herein set forth. <br /> <br /> 12. Governing Law% This Agreement shall be construed, <br />performed and enforced in accordance with Minnesota law. <br /> <br /> 13. Binding.
