standing anything otherwise set forth in this Agreement, in the event WMMI at any time during the term hereof shall determine that it is no longer economically feasible, by reason of federal, state or local governmental action or otherwise, to continue its operations of a Sanitary Landfill at the Property, WM~4I shall have the option to suspend or terminate deposition of solid waste at the Property, and upon such suspension, payments hereunder shall likewise be suspended, and upon permanent termination of the deposition by WMMI of solid waste at the Property, all payments hereunder shall cease, provided that WMMI shall not be relieved of any Minnesota Pollution Control Agency or Anoka County permit or license requirements otherwise applicable to the cessation of its ope.ration of a Sanitary Landfill at the Property. 8. Assignment. The City shall not sell, assign or convey its interest in this Agreement without the prior written consent of WMMI, which consent WMMI may give or withhold in its sole discretion. WMMI shall not sell, assign or convey its interest in the Property and its obligations under this Purchase Price Payment Agreement without the prior written consent of the City, which consent shall not be unreasonably withheld, and upon any such sale, assignment or conveyance, WMRI shall thereupon be entirely freed of all obligation or liabilities hereunder, provided that the assignee assumes, in full, the obligations of WMMI under this Agreement. 9. Meaninc of Terms. Wherever the words "the City" and "WMMI" appear in this Agreement, they shall include the parties and their respective successors and assigns. 10. No Joint Venture. Nothing contained herein shall be construed to make the parties hereto partners or joint venturers, nor shall either party hereto be entitled to bind the other in any manner by its actions. - 5 - 6/21/84
