11. Entire Agreement. This Agreement supersedes any prior <br />or&l or written agreement between the parties and together with <br />the Real Estate Purchase and Sale Agreement identified in Section <br />4 hereof and the documents and instruments referred to therein <br />and executed and delivered pursuant thereto constitutes the <br />entire understanding of the parties with respect to the matters <br />herein set forth. <br /> <br /> 12. Governing Law. This Agreement shall be construed, <br />performed and enforced in ac¢ord&nce with Minnesota law. <br /> <br /> 13. Binding.
