Mn/DOT Contract No: 07023 <br />Agreement <br />1. Term of Agreement; Survival of Terms; <br />1.1. Effective date. This Agreement will be effective on the date the State obtains all signatures required by <br />Minnesota Statutes § 16C.05, subdivision 2. <br />1.2. Expiration date. This Agreement will expire when all obligations have been satisfactorily fulfilled. <br />1.3. Survival of terms. All clauses which impose obligations continuing in their nature and which must survive <br />in order to give effect to their meaning will survive the expiration or termination of this Agreement, <br />including, without limitation, the following clauses: 5. Liability; Worker Compensation Claims; Insurance; <br />7. State Audits; 8. Government Data Practices; 9. Governing Law; Jurisdiction; Venue; and 11. Force <br />Majeure. The terms and conditions set forth in Article 2. Signal System and EVP System Power, Operation <br />and Maintenance may be terminated by another Agreement between the parties. <br />2. Signal System and EVP System Power, Operation, and Maintenance <br />2.1 System "A" <br />Power, operation, and maintenance responsibilities will be as follows for the new Signal System including an <br />EVP System on Trunk Highway No. 10 at County State Aid Highway No. 83 (Armstrong Boulevard) North <br />Ramps in the City of Ramsey, Anoka County. <br />A. Power. The City will be responsible for the hook-up cost and application to secure an adequate power <br />supply to the service pad or pole and will pay all monthly electrical service expenses necessary to <br />operate the Signal System and EVP System. <br />B. Luminaire Maintenance. The City will, at its own cost, clean and maintain the signal pole mounted <br />LED luminaires and all internal components, including replacing the luminaires when necessary. The <br />LED luminaire must be replaced when it fails or when light levels drop below recommended AASHTO <br />levels for the installation. <br />C. Minor Cleaning and Signal Maintenance. The County will provide for the following at its own cost: <br />i. Clean the Signal System, Signal System controller cabinet, and service cabinet exteriors. <br />ii. Replace the Signal System LED indications. Replacing LED indications consists of replacing each <br />LED indication when it reaches end of life per the MnDOT Traffic Engineering Manual or fails or <br />no longer meets Institute of Traffic Engineers (ITE) standards for light output. <br />D. Timing, EVP, and other Maintenance (Performed by the County on a Reimbursable Basis) <br />Operation and maintenance activities covered below are the responsibility of the State and will be performed <br />by the County on a reimbursable basis. The County will invoice the State annually for the actual costs <br />incurred in performing said operation and maintenance activities. Invoices will be submitted to the office of <br />the State's Metropolitan Electrical Services Unit at 6000 Minnehaha Avenue, St. Paul, MN 55111. <br />State's payment is subject to an encumbrance of funds for signal operation and maintenance work. <br />i. Maintain the signing and perform all other signal system, Accessible Pedestrian Signal, and signal <br />pole luminaire circuit maintenance. All Signal System timing will be determined by the County. <br />Signal system locating will be performed by the County. <br />ii. EVP System Operation. The EVP System will be operated, maintained, and removed according to <br />the followingconditions and requirements: <br />a. All maintenance of the EVP System will be done by County forces. <br />b. Emitter units may be installed only on authorized emergency vehicles, as defined in <br />Minnesota Statutes § 169.011, Subdivision 3. Authorized emergency vehicles may use <br />-2- <br />
