Mr. Otter <br />Page 2 <br />April 6, 1992 <br /> <br />10. <br /> <br />11. <br /> <br />12o <br /> <br />Waste Management will convey fee title to Ramsey to an <br />approximate 2/3 acre parcel lying between Sunfish Lake <br />Boulevard and Sunfish Lake. This is a part of the former <br />Fournier property. In general terms, Ramsey is <br />interested in that part of this property which has its <br />frontage on Sunfish Lake Boulevard from 100 feet south <br />of the testing well to 100 feet north of the existing <br />mailbox on the site. Waste Management would retain a <br />perpetual easement for access and maintenance of its <br />existing pumpout and monitoring wells on this parcel. <br /> <br />Waste Management will grant the city a first right of <br />refusal on the balance of the Fournier parcel. Should <br />an offer from a third person be received, Ramsey will be <br />given the option to purchase the site based on 'that <br />offer, or for a sale price based upon a certified <br />appraisal from a qualified MAI Appraiser. <br /> <br />Waste Management will convey all necessary easements to <br />Ramsey relating the City's construction of 153rd Avenue <br />NW, including right of way and drainage easements. <br /> <br />Waste Management will not be obligated to construct a ski <br />hill on the landfill site. <br /> <br />Waste Management will execute the Waltech gas pipeline <br />indemnification agreement between Anoka County, Ramsey <br />and the City of Anoka. <br /> <br />Very truly yours, <br /> <br />William K.
