I I I I I I I I I I page 2 W~REAS, the* Ramsey Landfill Board was established by a Joi~t Powers Agreement between the Cities of Anoka and Ramsey and the County of A~oka; and, W~REAS, the Landfill Board will be called upo~ to make numerous decisions neces- sitating various parliamentary procedures; and, WHEREAS, it is therefore necessary to establish rules of procedure governing such matters: NOW THEREFORE BE ~T RESOLVED, by the Ramsey Landfill Board that the meetings of the Ramsey Landfill Board shall be conducted in accordance with Roberts Rules of Order (newly revised) with the following exceptions: The Chair of the Board may declare meetings ~f' the Board adjourned and such declarations shall be effective unless contested by three or more members of the Board. Nominations to fill vacancies on various boards over which the Land- fill Board has appointed authority, including positions to be filled frown among membership of the Ramsey Landfill Board, may be acted %~pon without a second to such nomination. C. The Chair of the Board may make a motion, and second a motion made by another member of the Board. Unless a member signifies an abstention or voted in the negative on a given issue, the Secretary-Treasurer shall be directed to record that each member has voted in the positive on that particular matter which is before the Board. E. The Chair of the Board shall have the authority-to appoint members of the Board to standing co,,~!ttees. All matters to be acted u~on by the Landfill Board shall be forwarded to the Secretary-Treasurer who will forward each matter to the appro- priate com~i tree, if any, who, upon review and discussion, will forward to the Landfill Board recommendations for action. This will not pre- clude certain items from being placed on Landfill Board Agendas at the_ discretion of the Chair. BE IT FURTHER RESOLVED, that the Chair shall preside at Board meetings and sign all documents requiring signature on its behalf, and his or her signature as Chair, attested by the Secretary-Treasurer, shall be binding as the signa- ture of such Board. In the absence or incapacity of the Chair, the Vice- Chair shall perform the Chair's duties. If the Chair or Vice-Chair are ab- sent from any meeting, all documents requiring the signature of the Boird shall be signed by a majority thereof and likewise attested. BE 1T FURTHER RESOLVED, that meetings shall be established by direction of the Chair of the Landfill Board. BE IT FURTHER RESOLVED, that these rules and procedures shall continue to be ap- plicable to meetings of the Ramsey Landfill Board until reconsidered in whole or in part.
