WURST, PEARSON, LARSON, UNDERWOOD & M ERTZ <br /> <br />Preface. A general history of how and why the organization <br />came into existence. Spells out that your Cities either proceed <br />under a Joint Powers Agreement or the County will be required to <br />establish a watershed district. That creates an independent <br />layer of government that your predecessors were attempting to <br />avoid. <br /> <br />Article I. <br /> <br />Name of District. <br /> <br />Article II. General purposes of the WMO under statute statute. <br />Preface outlines the purposes directly from the statute with two <br />additional items to indicate the need for cooperation. <br /> <br />Article III. <br /> <br />Definition section. Self-explanatory. <br /> <br />Article IV. Membership. Provides for four current members <br />and allows you to invite other units of government to be members. <br /> <br />Article V. Board of Commissioners. Basically follows your <br />ezisting organizational structure. One Commissioner, one <br />Alternate Commissioner per member is allowed. The City <br />determines qualifications of its representatives. Includes <br />provision re vacancies or removal and incorporates state statutes <br />and state rules. You now have to advertise vacancies and notify <br />BWSR. No compensation is provided by the Commission, but the <br />individual City can compensate. The Commission can pay <br />authorized expenses of Commissioner. Establishes meeting <br />requirements and provides for officers. I believe this section is <br />consistent with your current practices. <br /> <br />Article VI. Powers and Duties of the Board. This is a general <br />outline of what is required by Minnesota Statutes Chapter 103B and <br />the Metro rules. Generally provides authority to employ persons <br />to assist the Commission. Authorizes you to rent space, acquire <br />personal property, and develop an over-all plan. There is a <br />substantial amount of material relating to how the plan is <br />developed and amended. This will be on-going as it will be <br />necessary in the future to update the plan, and I'm sure the <br />Commission will want to keep it current. <br /> <br />Subdivisions 6 through 28 clarifyand authorize the Commission to <br />carry out the duties of being a Water Management Organization. <br />Note Subdivision 20 sets out your annual audit responsibility and <br />requires a certified public accountant to prepare the audit. <br /> <br />Article VII. Method of Proceeding. We have incorporated the <br />procedures as used by Minnesota cities to make public <br />improvements, and as set out in Minnesota Statutes Chapter 429. <br /> <br /> <br />
