Voting No: None. <br /> <br />Case #11: <br /> <br />Adopt Ordinance Authorizing the Sale of Lot 2, Block 1, Sunfish Lake <br />Business Park Second Addition, Anoka County, Minnesota <br /> <br />City Attorney Goodrich advised the City has entered into a TI~' agreement with Rotary Systems, <br />Inc, a Minnesota Corporation. As part of the transaction, the City is to convey title to Lot 2, <br />Block 1, Stlllfish Lake Business Park Second Addition to Rotary Systems, Inc. The ordinance <br />was introduced on April 27, 2004, and is now being presented for final adoption. <br /> <br />Motion by Councilmember Cook, seconded by Councilmember Elvig, to adopt Ordinance No. <br />04-22 which is an ordinance authorizing the sale of the Lot 2, Block 1, Sunfish Lake Business <br />Park Second Addition, Anoka County Mirmesota. <br /> <br />A roll call vote was performed by the Recording Secretary: <br /> <br />Cook: aye <br />Elvig: aye <br />Kurak: aye <br />Pearson: aye <br />Strommen: aye <br />Zimmerman: aye <br />Mayor Gamec: aye <br /> <br />Motion carried. <br /> <br />Case #12: <br /> <br />Assumption of Rum River Dental Creations, LLC Development Agreement <br />to Miller Rickard Properties, LLC <br /> <br />City Attorney Goodrich explained the City currently is party in a Development Agreement with <br />Rum Rivet' Dental Creations, LLC that was executed February 27, 2004. The development <br />agreement is in effect until December 31, 2011. The officers, Walt Rickard and Wayne Miller, <br />of Rum Rivet' Dental Properties, LLC would like to transfer the property and all the rights and <br />the development agreement to the new entity which they are party to. The development <br />agreement and the terms of the agreement must be transferred to the new entity to guarantee that <br />the City receives the increment necessary to fulfill the financial obligations of the development <br />agreement. An Assumption Agreement executed by Rum River Dental Creations, LLC, Miller <br />Rickard Properties, LLC, the City of Ramsey would effectively transfer the development <br />agreement to the new entity. Staff recommends approval to enter into the Assumption <br />Agreement. <br /> <br />Councihnember Elvig asked if there is a provision in the original agreement regarding a personal <br />signature as opposed to a corporate signature. <br /> <br />City Council/May 25, 2004 <br />Page 20 of 27 <br /> <br /> <br />
