CITY OF RAMSEY ENGINEERING MASTER CONSULTING AGREEMENT This Agreement ("Agreement") is entered into this / kday of .,,GNU 1/ , 201 , by and between the City of Ramsey, 7550 Sunwood Drive NW, Ramsey, MN 55303 (the "City") and /<4,Jsr,A.l oer.4r�- . , (the "Consultant"). WHEREAS, Consultant has experience in engineering services and is a licensed qualified professional engineering firm; and WHEREAS, the City solicited statements of qualifications ("SOQ") during 2011, and as a result of employing the qualifications based selection process ("QBSP") has elected to retain Consultant for engineering services described herein, and WHEREAS, the City desires to engage the Consultant from time to time to assist in providing engineering services for projects designated by the City and as described through a separate letter of engagement attached hereto as Exhibit A (the "Letter of Engagement"); and WHEREAS, Consultant desires to accept such engagement upon the terms and conditions hereinafter set forth. NOW THEREFORE, in consideration of the mutual agreements herein contained and intending to be legally bound hereby, the City and Consultant hereby agree as follows: ARTICLE 1. TERM OF CONTRACT Section 1.01. TERM. This Agreement will become effective on A:Aj/ /31-L, continue in effect, unless terminated in accordance with the provisions of Article 7 of this Agreement. and will ARTICLE 2. INDEPENDENT CONTRACTOR STATUS Section 2.01. INDEPENDENT CONTRACTOR STATUS. The City and Consultant expressly agree that Consultant is an independent contractor and not an employee, agent, joint venturer, or partner of the City. Nothing in this Agreement shall be interpreted or construed as creating or establishing the relationship of employer and employee between the City and Consultant or any employee or agent of Consultant. Both parties acknowledge that Consultant is not an employee of the City for state or federal tax purposes. 1
