KLEIN MPA/APA <br /> <br />~is Agreement made and entered into this day of February 1982 by and <br />between Preferred Planning Services, herinafter referred to as the Consultant, <br />and the City of Ramsey, hereinafter referred to as the Client. <br /> <br />WHEREAS, the Client desires to engage the services of the Consultant to furnish <br />technical and professional planning assistance in the establishment of a Local <br />Development Company (LDC) and the Consultant has signified his willingness to <br />furnish said technical and professional services to the client. <br /> <br />NOW, TItEREFORE, the parties hereto do mutually agree as follows: <br /> A. .Scope of Consultant's Services <br /> <br />The Consultant agrees to perform in a good and professional manner <br />those services outlined in section B of this Agreement. <br /> <br />B. Consultants Work Program <br /> <br />The Consultant will assist the City Council, staff and interested <br />residents to accomplish the following tasks by the referenced <br />target dates. <br /> <br />1. Mayor with Council concurance to appoint representatives to LDC <br /> (February - March 1982) <br /> <br />2. Organizational meeting with appointees to LDC. <br /> (March 1982) <br /> <br />Draft a resolution designating the LDC as the formal advisory <br />body to the City for Economic Development. <br />(March 1982) <br /> <br />4. Establish a regular meeting schedule. <br /> (March 1982) <br /> <br />5. Establishment of Corporation <br /> (April 1982) <br /> a. election of officers <br /> b. apply for and secure Corporate Seal <br /> c. approve stock certificate <br /> d. file articles of Incorporation with State of Minnesota <br /> e. File stock certificate with Minnesota Securities Commission <br /> <br />6.
