Evaluation Report must be submitted to the Council no later than 60 days after the Project End Date. The final ten percent payment to the Grantee may be w'~thheld for failure to supply all necessary project documentation within 60 days of the Project End Date. All grant funds that have not b~,.n expended or obligated by executed contract or purchase order i~ accordance with the terms of this grant agreement by the Project End f)ate shall be repaid to the Council and revert to and become a part of the Metropolitan Landfill Abatement Fund. This grant agreement shall he effective upon execution and shall terminate following final i!ayment to the Grantee or 90 days following the Project End Date, whichever occurs first. TeF~nination~ Th-.s grant agreement may be terminated by the Council at any time upon se~en days' written notice to the Grantee, if the Grantee fails to comply with one or more conditions of this agreement. A gr,'mt agreement may be terminated at any time upon written request ~,f the Grantee, but such termination does not necessarily reli~ve the Grantee of the responsibilities set forth in the~ grant agreem~.nt~ ~han_n_9_~~. The terms of this agreement may be changed or modified by mutual agreement of the parties hereto. Such changes or modifications shall be effectiue only upon the execution of written amendments signed by authorized representatives of the Council and Grantee. De Noncompliance. i]n the event that the Council finds that there has been a failure t~) comply with the provisions of this agreement, the Council may withhold payment of any remaining grant funds owed to the Grantee and take such further action as may be appropriate to protect the Council's ini:erest. Upon a finding by the Council that the Grantee has made an unauthorized use of grant proceeds and a demand by the Council for repayment, the Grantee agrees to promptly repay such amounts to the C~)uncil. Equal Employment~ortunity. The Grantee agrees to comply with all applicable laws ~elating to nondiscrimination and affirmative action. In particular, Grantee agrees not ~o discriminate against any new employee, applicant for employment, or participant in this project, because of race, color, religion, sex or national origin, and to take affirmative action so that applicants and employees are treated equally with resi>ect to the following: employment, upgrading, demo- tion, transfer, ?ecruitment, layoff, termination, rates of pay, and other forms of c~)mpensation and selection for training. The Grantee furt~er agrees to take affirmative action to include the participation of women and minority business enterprise (W/MBE) in the performance ~)f this project, wherever possible. The Grantee agrees to contac'~ the Council to obtain a list of W/MBEs and to make a go(~ faith effort to include participation by W/MBEs for any contract to be let using ~)r~nt funds.
