address set forth below or at such other address as they individually may specify thereafter in <br /> writing. <br /> OWNER: City of Ramsey <br /> ADDRESS: 7550 Sunwood Drive NW <br /> ATTENTION: Diana Lund <br /> Finance Director <br /> MANAGER: Premier Commercial Properties, LLC <br /> ADDRESS: 6897 139th Lane NW Ramsey, MN 55304 <br /> ATTENTION: Marty Fisher <br /> Such notices or other communications may be mailed by United States registered or <br /> certified mail, return receipt requested postage prepaid and may be deposited in a United States <br /> Post Office or a depository for the receipt of mail regularly maintained by the post office. Such <br /> notices, demands, consents and reports may also be delivered by hand, or by any other method or <br /> means permitted by law. For purposes of this Agreement, notices will be deemed to have been <br /> "given" upon personal delivery thereof or forty-eight (48) hours after having been deposited in <br /> the United States mail as provided above. <br /> 6.4. No Assignment. This Agreement and all rights hereunder, shall not be assignable <br /> by either party hereto without the written consent of the other. <br /> 6.5. Amendments. Except as otherwise herein provided, any and all amendments, <br /> additions or deletions to this Agreement shall be null and void unless approved by Owner and <br /> Manager in writing. <br /> 6.6. Headings. All headings herein are inserted only for convenience and ease of <br /> reference and are not to be considered in the construction or interpretation of any provision of <br /> this Agreement. <br /> 6.7. Representations. Manager represents and warrants that it is fully qualified and <br /> licensed, to the extent required by law, to manage real estate and perform all obligations assumed <br /> by Manager hereunder. Owner represents and warrants to Manager that it has full right and <br /> authority to enter into this Agreement with Manager with respect to each Property listed on <br /> Exhibit A. <br /> 6.8. Applicable Law. This Agreement shall be construed, as to each Property, in <br /> accordance with and governed in all respects by the laws of the State of Minnesota. If any <br /> provision of this Agreement shall be prohibited or held invalid under such law, such provision <br /> shall be ineffective only to the extent of such prohibition or invalidity, without invalidating the <br /> remainder of such provision or any other provisions of this Agreement. <br /> 6.9. Complete Agreement. This Agreement and the Exhibit A attached hereto and <br /> made a part hereof, supersedes and takes the place of any and all previous management <br /> agreements entered into between the parties hereto relating to the Properties covered by this <br /> Agreement, and constitutes the entire agreement between the parties. <br /> 6 <br />
