expressly delegated by the Board to some other officer or agent. He shall have <br />such other powers and perform such other duties as may be incidental to his <br />office, as are given to him by these By-Laws or as from time to time may be <br />assigned to him by the Board. <br /> <br /> Section 8: The President. The President shall be the principal executive <br />officer of the Corporation and shall have general charge and control of the <br />affairs and property of the Corporation and general supervision over its <br />officers and agents, subject to the direction of the Board of Directors. If <br />there shall not be a Chairman of the Board or, in hts absence, the President <br />shall preside at ali meetings of members and of the Board and shall see that all <br />orders and resolutions of the Board are carried into effect. At the request of <br />the Chairman of the Board or in his absence or disability or, if such office be <br />vacant, the President shall perform all other duties of the Chairman of the <br />Board. The President may sign and execute in the name of the Corporation deeds, <br />mortgages, bonds, contracts, agreements or other instruments authorized by the <br />Board except tn rinses where the signing and execution thereof shall be expressly <br />delegated by the Board to some other officer or agent. He/she shall have such <br />other powers and perform such other duties as may be incidental to the office, <br />as are given to him/her by these By-Laws or as from time to time may be assigned <br />to him/her by the Board. <br /> <br /> Section 9: The Vice President. At the request of the President or In his <br /> absence or disability, the Vice President designated by the President (or tn the <br /> absence of such designation, the Vice President designated by the Board of <br /> Directors) shall perform all the duties of the President and, when so acting, <br /> shall have all the powers of and be subject to all restrictions upon the <br /> <br /> <br />
