President. Any Vice President may also sign and execute in the name of the <br />Corporation deeds, mortgages, bonds, contracts, agreements or other instruments <br />authorized by the Board except in cases where the signing and execution thereof <br />shall be expressly delegated by the Board to some other officer or agent. <br />He/she shall have such other powers and perform such other duties as are given <br />to him/her by these By-Laws or as from time to time may be assigned to him/her <br />by the Board or the President. <br /> <br /> Section 10: The Secretary. The Secretary shall: <br /> <br /> n. Record all the proceedings of the meetings of shareholder~ and <br /> Board of Directors in a book or books to be kept for that purpose; <br /> <br /> b. Cause all notices to be duly given ~n accordance with the <br /> provlsions of these By-Laws and as required by law; <br /> <br /> c. Take and retain custody of the records and of the seal of the <br /> Corporation and cause such seal to be affixed to all instruments the <br /> execution of which on behalf of the Corporation under its seal shall have <br /> been duly authorized; <br /> <br /> d. See that the lists, books, reports, statements, certificates and <br /> other documents and records required by law are properly kept and filed; <br /> and <br /> <br /> e. In general, have such other powers and perform such other duties <br /> as may be incidental to his/her office, as are given to him/her by these <br /> By-Laws or as from time to time may be assigned to him/her by the Board or <br /> the President. <br /> <br /> Section I1: The Treasurer. The Treasurer shall: <br /> <br /> a. Have charge and custody of and be responsible for all funds and <br /> securites of the Corporation, receipts and disbursements in books belonging <br /> <br /> <br />
