Municipality, Alrl3ort Commission) hereafter referred to as Municipality. Hakanson Anderson WHEREAS, the Municipality has retained Assoc. ~ Incorporated to provide consultant services for preparing a comprehensive airport master plan for the Gateway North Industrial Airport in the City of RamseV. . hereafter services; WHEREAS, the Municipality's airport has been designated by the Commissioner as part of the state airways system; and § § 360.015 and 360.305 and is willing to financially assist the WHEREAS, the State is authorized by Minn. Stat. Municipality in the above services; NOW THEREFORE, it is agreed as follows: 1. The Municipality's estimated cost for these services is $ 40 ~ 400 total cost for these services are Federal --- %, State pal __ 20 __% and the State'~ obligation shall not exceed $ event Federal reimbursement becomes available or is increased for these services, the State shall be entitled to withhold from such funds an amount not to exceed the State share under this Agreement. No funds are Com- mitred under this Agreement until they are encumbered by the Minnesota Department of Finance. The Municipality and its consultant shall: Conduct the services in accordance with the work program' indicated in the approved agreement for services on file with the Commissioner. Obtain prior approval from the State for any modifications or changes in the scope of work. Make regular progress reports and present them to the State, along with documentation as to th.e elements and phases of the services prior to requesting reimbursement on partial estimates of cost. Confer on a regular basis with the State to coordinate the design and development of the project. If the Municipality fails to comply with the terms of this Agreement, the State may terminate it upon 30 days written notice to the Municipality, and the Municipality will return;upon demand to the State, the amounts received hereunder, together with interest at 6% per annum from the date of payment. The Municipality presently has available sufficient unencumbered funds to pay for its share of these services and it shall be responsible in the execution of this Agreement that all provisions of its municipal charter and appli- cable state and federal laws have been strictly followed. The Municipality will maintain its records and provide such information on request of the State so as to permit the State, the Legislative Auditor, or the State Auditor to examine those books, records, and accounting procedures and practices of the Municipality relevant to this contract pursuant to Minnesota Statutes ~ 7.6.095. The MuniciPality shall save and hold harmless the State from any claims, liabilities, or damages including but not limited to its costs and attorneys' fees arising out of the airport design and development financed hereunder or out of the agreement between the Municipality and its consultant. · The proportionate shares of 80 %, and Munici- 32~320 ..
