I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br /> <br />AMENDMENT AGREEMENT NO. 1 <br /> <br /> THIS AGREEMENT, made and entered into as of the 15th day of <br />March 1984, among the City of Ramsey, a Municipal Corporation <br />of the State of Minnesota ("City" or "Grantor"),'Quad Cities <br />Cable Communications Commission (the "Commission"), and Group W <br />Cable, Inc., ("Grantee"). The Grantor, Commission and Grantee <br />are collectively referred to as "Parties". <br /> <br />WITNESSETH <br /> <br /> WHEREAS, pursuant to City Ordinance No. 82-10, the Grantor <br />has granted and the Grantee has accepted a non-exclusive <br />revocable franchise to operate, construct and maintain a cable <br />television system within the City ("Franchise Agreement"); and <br /> <br /> WHEREAS, the Parties desire to modify and clarify certain <br />provisions contained in the Franchise Agreement; <br /> <br /> NOW THEREFORE, in consideration of the mutual covenants <br />contained herein the Parties agree as follows: <br /> <br /> 1. Pursuant to Article XII, Section 6.E. of the Franchise <br />Agreement, the Grantee's "Offering" was incorporated by <br />reference, including the undertaking of the Grantee's <br />programming staff, the Cities of Anoka, Andover, Ramsey and <br />Champlin (the 'Cities") have a staff of nine, consisting of <br /> <br />Program Director <br />Access Coordinator <br />2 Engineers <br />2 Video Engineers <br />Mobile Van Director <br />Educational Access Liaison Person <br />Secretary <br /> <br /> It is hereby agreed that the positions of the second <br />Video Engineer, Mobile Van Director and Secretary need not be <br />filled and that the money previously committed for salary and <br />benefits for said three positions need not be spent by the <br /> <br />0365P:RAMS:3/14/84 <br /> <br /> <br />
