Said three staff positions may be added by the <br />Grantee in the exercise of its business discretion after <br />consultation with the Commission and/or the Cities. <br /> <br /> 2. Within thirty (30) days after the effective date of <br />this Amendment No. 1 and annually during the term of the <br />initial franchise thereafter on the anniversary of such initial <br />payment, Grantee shall pay in accordance with this Amendment <br />No. 1 and agreements with the other Cities a total of $2,500 <br />(as such amount may be increased as provided below) to the <br />Commission to be awarded to a student or students selected by <br />the Commission as a "Group W Cable Scholarship". Such <br />Scholarship shall be increased and equal to the product of <br />$2,500 multiplied by a fraction, the numerator of which is the <br />then current charge for Tier II services and the denominator of <br />which is $10.95. In no event shall the annual payment be less <br />than $2,500. <br /> <br /> 3. During the first six months of 1984, Grantee will <br />expend $3,000 in addition to any monies originally budgeted or <br />promised in the Offering in a multi-media program promoting the <br />availability of the Grantee's access facilities and training <br />programs. <br /> <br /> 4. Within thirty (30) days of the effective date of this <br />Amendment No. 1, the Grantee shall pay the Commission $24,000 <br />to be used as the Commission deems appropriate to advance <br />access programming and local origination and to compensate the <br />Cities for lost franchise fees. <br /> <br /> 5. Nothin9 in this Amendment No. 1 shall affect the <br />status with respect to the introduction of Tier III interactive <br />services which shall be reviewed by the Commission and the <br />Grantee in the near future. <br /> <br /> 6. Grantor, its successors and assigns hereby release and <br />discharge Grantee from any penalties or sanctions arising out <br />of any alleged or actual failure by Grantee to satisfy its <br />obligations under the Franchise Agreement to and including the <br />date of this Amendment No. 1, including but not limited to any <br />alleged or actual failure by Grantee to provide any services, <br />equipment or facilities mentioned therein up through and <br />including the effective date of this Amendment No. 1. This <br />release shall not limit Grantee's liability for failure to <br />satisfy Grantee's obligation pursuant to the Franchise <br />Agreement at any time after the effective date of this <br />Amendment No. 1. <br /> <br />0033P:3/14/84 <br /> <br /> <br />
