II. METHODS A. Preliminary Planning/Design Approval The County shall be responsible for all engineering and design services and will prepare plans and specifications. The County shall consult with the City regarding the portion of trail to be constructed within the City's easement. B. Bidding/Construction — Written Authorization The County shall do the calling for all bids and the accepting of all bid proposals, and shall cause the construction of the Project in conformance with the approved plans and specifications. The County's award to the lowest responsible bidder shall be made in consultation with the City prior to awarding the bid. After receipt of all necessary governmental approvals, the County shall cause the commencement of the Project's construction and shall manage the Project through to completion. III. OWNERSHIP, ACCESS, AND MAINTENANCE OF IMPROVEMENTS The County shall have access to the City's trail easement in perpetuity to construct and provide maintenance for the Mississippi River Trail, including maintenance of vegetation along the trail, tree trimming, trash removal, bituminous surface patching/sealing, signage, and snow plowing, at the discretion of the County. The closure or abandonment of any portion of trail segments before 20 years have expired shall only occur with the mutual consent of both parties. IV. NOTICES For purposes of delivery of any notices hereunder, the notice shall be effective if delivered to the County Administrator of Anoka County, 2100 Third Avenue North, Anoka, Minnesota 55303, on behalf of the County, and to the City Administrator for the City of Ramsey, City Hall, 7550 Sunwood Dr. NW, Ramsey, Minnesota 55303, on behalf of the City. V. INDEMNIFICATION The City and the County mutually agree to indemnify and hold harmless each other from any claims, losses, costs, expenses or damages resulting from the acts or omissions of the respective officers, agents, or employees relating to activities conducted by either party under this JPA. VI. ENTIRE AGREEMENT / REQUIREMENT OF WRITING It is understood and agreed that the entire agreement of the parties is contained herein and that this JPA supersedes all oral agreements and all negotiations between the parties relating to the subject matter thereof, as well as any previous agreement presently in effect between the parties to the subject matter thereof. Any alterations, variations, or modifications of the provisions of this Agreement shall be valid only when they have been reduced to writing and duly signed by the parties. 2
