II. METHODS <br />A. Preliminary Planning/Design Approval <br />The County shall be responsible for all engineering and design services and will <br />prepare plans and specifications. The County shall consult with the City regarding the portion of <br />trail to be constructed within the City's easement. <br />B. Bidding/Construction — Written Authorization <br />The County shall do the calling for all bids and the accepting of all bid proposals, <br />and shall cause the construction of the Project in conformance with the approved plans and <br />specifications. The County's award to the lowest responsible bidder shall be made in <br />consultation with the City prior to awarding the bid. After receipt of all necessary governmental <br />approvals, the County shall cause the commencement of the Project's construction and shall <br />manage the Project through to completion. <br />III. OWNERSHIP, ACCESS, AND MAINTENANCE OF IMPROVEMENTS <br />The County shall have access to the City's trail easement in perpetuity to construct and <br />provide maintenance for the Mississippi River Trail, including maintenance of vegetation along <br />the trail, tree trimming, trash removal, bituminous surface patching/sealing, signage, and snow <br />plowing, at the discretion of the County. <br />The closure or abandonment of any portion of trail segments before 20 years have <br />expired shall only occur with the mutual consent of both parties. <br />IV. NOTICES <br />For purposes of delivery of any notices hereunder, the notice shall be effective if <br />delivered to the County Administrator of Anoka County, 2100 Third Avenue North, Anoka, <br />Minnesota 55303, on behalf of the County, and to the City Administrator for the City of Ramsey, <br />City Hall, 7550 Sunwood Dr. NW, Ramsey, Minnesota 55303, on behalf of the City. <br />V. INDEMNIFICATION <br />The City and the County mutually agree to indemnify and hold harmless each other from <br />any claims, losses, costs, expenses or damages resulting from the acts or omissions of the <br />respective officers, agents, or employees relating to activities conducted by either party under <br />this JPA. <br />VI. ENTIRE AGREEMENT / REQUIREMENT OF WRITING <br />It is understood and agreed that the entire agreement of the parties is contained herein <br />and that this JPA supersedes all oral agreements and all negotiations between the parties <br />relating to the subject matter thereof, as well as any previous agreement presently in effect <br />between the parties to the subject matter thereof. Any alterations, variations, or modifications of <br />the provisions of this Agreement shall be valid only when they have been reduced to writing and <br />duly signed by the parties. <br />2 <br />
