JOINT POWERS AGREEMENT <br />TO FORM A COALITION OF <br />METROPOLITAN COMMUNITIES <br /> <br />THIS AGREEMENT, made and entered into this <br /> <br />1986, by and between the cities and entities of <br /> <br />d ay of , <br /> <br />hereinafter referred to as "Agencies" <br /> <br /> The Agencies hereto agree to establish an organization to be known as <br /> <br />the to promote transportation and economic <br /> <br />development projects. <br /> <br /> Any other public entity may become an agency upon approval by a <br />majority of the then Agencies. <br /> <br /> Minnesota Statutes Section 471.59 authorizes two or more governmental <br />units to enter into an agreement for the joint and cooperative exercise of any <br />power common to the contracting parties. Whereas, improvements to transpor- <br />tation systems serve the Agencies by promoting the public's health, safety and <br />general welfare and economic development enhances the local tax base thereby <br />enabling Agencies to provide needed municipal services at acceptable tax rates. <br /> <br /> NOW, THERFORE, pursuant to the authority granted by Minnesota Statutes <br /> Section 471.59, the parties hereto do agree as follows: <br /> <br /> 1) BOARD OF DIRECTORS. The governing body of the coalition shall be <br />its Board of Directors. Each agency shall be entitled to two (2) directors. <br />Each director shall have one (1) vote. Each agency shall appoint two (2) direc- <br />tors, one (1) of whom shall be the City Manager or Administrator or other <br />designee. <br /> <br />Board. <br /> <br />A majority of the Board of Directors shall constitute a quorum of the <br /> <br /> 2) MEETINGS. The coalition shall meet on call of the president or by <br />the Operating Committee. <br /> <br /> 3) OPERATING COMMITTEE. The Board of Directors shall appoint an <br />Operating Committee. The Operating Committee shall have authority to manage the <br />affairs and business of the coalition between coalition meetings, but at all <br />times, shall be subject to the control and direction of the Board. <br /> <br /> <br />
