II1. LANDFILL BOARD <br /> <br /> There is hereby established, as of the date of s[gnature by all parties to this <br />Agreement, o Board to be known as the Ramsay Landfill Board. The Landfill Board <br />shall be mode up of five members. One member each shall be appointed by each city <br />council and the County Board. Appointees shall be members of the respective city <br />councils and county board. One member shall be appointed by the Anoka County <br />Community Action Program, Inc. The Chair of the County Board, or the Chair's. <br />designee, who shall also be a County Board member, shall serve as Chair of the - <br />Landfill Board. The Chair shall only vote in case of a tie. All members shall serve at <br />the will and pleasure of the appointing authority. <br /> <br /> Notices of appointment shall be filed with the County Administrator. The <br />Landfill Board shall be operational whether or not parties appoint members. The first <br />meetbg shall be called by the County Administrator. At the first meeting, the <br />Landfill Board shall elect a secretary-treasurer, and adopt rules of procedure for its <br />operolion. The rules of procedure shall be filed with the County Administrator. <br /> <br />IV,., POWERS OF LANDFILL BOARD <br /> <br />The Landfill Board shall have the following powers and responsibilities: <br /> <br />To administer implementation and on-going maintenance of the methane <br />gas extraction project attached hereto os Exhibit A. The Board may <br />contract with any party to this agreement, or any other party, to provide <br />administrative ass]stance, except that administrative expenses may not <br />exceed $2Z,300 for the first year of operation~ and thereafter ten (10) <br />percent of the gross project revenues~ determined on a quarterly basis. <br /> <br />To perform all functions ~ecessary to enter into contracts for consulting <br />assistance which it deems necessary to the operation and development of <br />the methane gas extraction project. <br /> <br />To perform all functions necessary to enter into contracts for <br />implementation of the methane gas extraction project~ includir~g <br />acquisition and construction of a pipeline, acquisition of any necessary <br />interests in real estate other than fee title, and acquisition of any personal <br />property attendant thereto. <br /> <br />To assure that qll appropriate licenses and permits are' obtained for <br />implementation of the methane gas extraction project, except for those <br />which are the sol~ responsibility of the owner or operator of 'the Ramsay <br />Landfill. . <br /> <br />-Fo provide for maintenance of the pipeline and equip..ment attendant to the <br />methane gas extraction project. <br /> <br />~.
