WITNESSE-TH THAT: WHEREAS, the parties hove actively pursued the concept of methane gas extraction from the sanitary landfill located in the City of Ramsay, and wish to coordinate strategies and contribute funds for the utilization of methane gas as on energy sourcel and WHEIREAS, the Slate of Minnesola has provided funds to lhe Anoka County Community Action Program, Inc., for development of a pilot project at the IRamsey Landfill to convert methane gas into energy which may be util[zed for industrial expansioni and WHEREAS, the parties wish to jointly manage and operate the methane gas extraction project, an outline of which is attached hereto as Exhibit A and by reference made a port hereof; NOW, THEiREF-ORE~ in consideration of the mutual covenants and agreements contained herein, and pursuant to Section 471.5~ of the Minnesota Statutes, the parties do hereby agree as follows: !. PURPOSE The parties agree that they have joined together for the purpose of organizing and operating the methane gas extraction project as more specifically defined herein. I!. -ML~FHOD The parties are hereby providing for the establishment of a board to carry out the purpose set forth above. The board shall be known 6s' the Ramsay Landfill Board, hereinafter referred to as "Landfill Boar~'. EXHIBIT A
