Creighton, Legal Counsel/~/_..~. <br />May <br /> <br />RE: <br /> <br />Transaction No. 2 -- Transfer of Ownership and <br />Control of Group W Cable, Inc. <br /> <br /> You have previously received from our office a memorandum <br />and Resolution relating to the approval of the transfer of ownership <br />and control of Group W Cable, Inc., in Transaction No. 1. As <br />you are aware, Group W Cable, Inc., by and through Group W Cable <br />of the Quad Cities, Inc., has also requested the Cities' consent <br />to the transfer of ownership and control and ultimate transfer <br />of the Cable Communications Franchise Ordinance to North Central <br />Cable Communications, L.P. (Transaction No. 2). Group W is <br />similarly obligated to receive the Cities' approval for this <br />transaction under the Franchise Ordinance. This memorandum <br />and Resolution relate solely to Transaction No. 2. <br /> <br /> The Quad Cities Cable Communications Commission has undertaken <br />an extensive analysis of the legal, technical, and financial <br />qualifications of North Central in Transaction No. 2. At its <br />meeting of May 15, 1986, the Commission unanimously adopted <br />a Resolution recommending to its member cities the denial of <br />the transfer to North Central Cable Communications L.P. on this <br />second transfer. <br /> <br /> I have included the Commission's Findings of Fact and Conclusions <br />with respect to their recommendation for denial of Transaction <br />No. 2. Additionally, I have prepared a Resolution for your <br />City Council which will effectively disapprove Transaction No. 2 <br />consistent with the Commission's recommendation. The Commission's <br />Findings of Fact and Conclusions in Transaction No. 2 are attached <br />to and incorporated by reference into the Resolution. I would <br /> <br /> <br />
