I I I I I I I I I I I I I I ! -10- each of the parties retains the right to assert any legal, equitable, or admi- nistrative right of action or defense which may be available by law in order to implement or enforce the terms of this Agreement. b. Liability and Obligation. Except as specifically set forth in paragraph B.5. of this Agreement, this Agreement shall not release the Company from any liability or obligation imposed by Minnesota statutes, rules, or local ordinances now in effect or which may be adopted in the future. c. Emergency Powers. Nothing in this Agreement shall prevent the Agency from exercising its emergency powers pursuant to Minnesota Statutes § ll6.11 {1982) in the event conditions warranting action shall arise. d. Successors. This Agreement shall be binding upon the Company, its successors and assigns, and upon the Agency, its successors and assigns. e. Amendments. This Agreement may be amended at any time by written agreement of the parties. f. Extension of Time. The Director shall grant extensions of time schedules stated herein in the event the Company demonstrates good cause to the Director for granting such extensions. Such extensions shall be commensurate with the delays involved. g. Effec)]ive Date. This Agreement shall be effective upon the date 'it ix signed by the Director and Chairperson of the Agency Board. h. Company Information. The Company shall not knowingly make any false statement, representation on certification in any record, report, plan or other document filed or required to be submitted to the Agency under this Agree~ent. The Company shall immediately report to the Agency any errors in suci~ records, reports, p)ans ~r other documents upon discovery.
