Subdivision 4 - Review Services: When the Organization is authorized or requested to undertake a review and submit recommendations to an applicant as provided in this Agreement, the Organization shall conduct such review, without charge, except as provided below. Where the project size and complexity of review are d~emed by the Organization to be substantial, the Organization may charge a fee for such review services, the amount to be based upon direct and indirect costs attributable to that portion of review services determined by the Organization to be substantial. ~Cnere the Organization determines that a fee will be charged for substantial review services, the applicant to be charged shall receive written notice from the Organization of the services to be performed and the fee therefor, prior to undertaking such review services. Prior to undertaking such review, the applicant shall pay the review fee. 3.8 Annual Accounts: The Organization shall make a full and complete financial accounting and report to each party annually. All of its books, reports and records shall be available for and open to examination by any party at all reasonable times. 3.9 Gifts, Grants, Loans: The Organization may, within the scope of this Agreement, accept gifts, apply for and use grants or loans of money or other property from the United States, the State of Minnesota, a unit of government or other governmental unit or organization, or any person or entity for the purposes described herein; may enter into any reasonable agreement 11
