COOPERATIVE PURCHASING AGREEMENT THIS JOINT POWERS AGREEMENT made and entered into by and between the County of Hennepin, State of Minnesota, by and through its Board of Commissioners (hereinafter referred to as Hennepin County), and the City of Ramsey, State of Minnesota, by and through its City Council (hereinafter referred to as Ramsey), pursuant to Minnesota Statutes 471.59, as amended, providing for the joint exercise of powers. WITNESSETH THAT: IN CONSIDERATION of the mutual covenants contained herein, the parties agree as follows: 1. Purpose. The purpose of this Joint Powers Agreement is to make available to each party the administrative and financial benefits of cooper- ative purchasing and selling with respect to common items used by the parties, subject to the terms and conditions hereinafter set forth. 2. Effective Date. This Joint Powers Agreement shall become effective when signed by the duly authorized representatives of the parties. The evidence of the actions of the appropriate governing bodies approving this Agreement pursuant to the provisions of Minnesota Statutes 471.59 has been filed with the appropriate Hennepin County official, and such evidence of approval is hereby incorporated by reference and made a part of this Agree- ment. It is understood and agreed that additional parties may be added to this Joint Powers Agreement by submitting to Hennepin County action of their governing bodies requesting that they become parties hereto. 3. Purchasin§ and Sales Agent. It is agreed that Hennepin County shall be the purchasing agent and sales agent for Ramsey for the.collective purchase or sale of such items as may be jointly designated by the parties, according to the terms hereinafter stated. The conditions of all sales shall be subject to the joint determination of the parties. Hennepin County shall remit to Ramsey the proceeds of all sales of Ramsey property within approxi- mately thirty (30) days of the sale. 4. Notice of. Taking Bids. Hennepin County shall notify Ramsey at least thirty (30) days prior to the date it intends to solicit bids on any items in common use by the parties, which the parties desire to be coopera- tively purchased hereunder. Specifications for such items shall be estab- lished prior to the giving of such notice. Ramsey shall, subsequent to such notice and prior to the date set for the solicitation of bids, inform Hennepin County of the type, description, and estimated quantity of items which Ramsey desires to be included in the specifications of said solici- tation. All items designated by Ramsey must have been specified in the notice sent by Hennepin County to Ramsey. The failure of Ramsey to notify Hennepin County of its desire to participate in the intended purchase, within the period of time referred to above, shall be construed as a rejection of the opportunity to enter into the joint purchase of the items covered by Hennepin County's notice. It is understood and agreed by the parties that the estimate of items needed, given by Ramsey to Hennepin County, which forms part of the basis for the estimated quantity specified by Hennepin County in its solicitation for bids, is only an estimate. Ramsey shall be under no obligation to purchase the quantities of items contained in said estimate and subsequently stated in the bid specifications. 5. Bids and Awards. It is understood and agreed that Hennepin County, pursuant to the terms of this Agreement, and in accordance with its estab- lished practices and the laws governing purchases by Hennepin County, shall solicit bids, and shall tabulate, evaluate, and discuss with Ramsey, and with any other governmental unit that has entered into this Agreement or a substantially similar agreement with Hennepin County,' all bids received pursuant to such solicitations.
