FIRST AMENDMENT TO MASTER <br /> DEVELOPMENT AGREEMENT <br /> <br /> FIRST AaMENT)MENT TO MASTER DEVELOPMENT AGRI~EMENT was made and <br />entered into this __ day of ,2004, by and between the CITY OF tL~MSE¥, <br />MIN~ESOTA, a municipal corporation organized and existing under the laws of the State of <br />Milmesota (the "City") and 1L&MSEY TO¥~ CENTER LLC, a Minnesota limited liability <br />company (the "Developer"). <br /> <br /> RECITALS: <br /> <br /> WHEREAS, the City and the Developer are parties to the City of RamseY Master <br />Development Agreement for Ramsey Town Center by and between City of Ramsey and Ramsey <br />Town Center LLC, da[ed as of September __, 2003 (the "Master Development Agreement"); <br /> <br /> WHEREAS, the Developer has requested that the City agree to certain amendments to <br />the Master Development Agreement as more particularly set forth herein; <br /> <br /> NOW, THEREFORE, in consideration of the premises and the mutual obligations of the <br />parties hereto, each of them does hereby covenant and agree with the others as follows: <br /> <br />Section 2.1(g) of the Master Development Agreement is hereby amended to read as <br />follows: <br /> <br />(g) City's Ninety Foot Tract. "City's Ninety Foot Tract" means the <br />property to be replatted as Outlots A, B and C Rmnsey Town Center <br />Addition. <br /> <br />Section 2.1(oo) of the Master Development A~eement is hereby amended to read as <br />follows: <br /> <br />(oo) Phase I Parkino~ Rams. The City is conternplating constructing <br />two parking ramps. The first constructed will be referred to herein as the <br />"Phase I Parking Ramp." The City currently estimates that there will be <br />approximately parking spaces in the Phase I Parking Ramp and <br />the Phase II Parking Ramp, combined. The Phase I Parking Ramp will be <br />located in the area depicted on Exhibit N attached hereto. <br /> <br />Section 2. I(fi'f) is hereby added to the Master Development Agreement to read as <br />follows: <br /> <br />(£ff) City Town Center District Property means the approximately <br />(33.5) acres legally described and depicted on Exhibit M attached hereto. <br /> <br />Section 2.1(ggg) is hereby added to the Master Development Agreement to read as <br />follows: <br /> <br />i ra84445v3 <br /> <br /> <br />
