<br />ARTICLE 6. Patent Fees and Royalties <br /> <br />The Contractor will pay all license fees and royalties and assume all costs incidental to the use of any <br />invention, design, process or device which is the subject of patent rights or copyrights held by others. <br />The Contractor will indemnify and hold harmless the Owner and the Engineer and anyone directly or <br />indirectly employed by the Owner from and against all claims, damages, losses and expenses (including <br />attorney's fees) arising out of any infringement of such rights during or after completion of the Work, <br />and shall defend all such claims in connection with any alleged infringement of such rights. <br /> <br />ARTICLE 7. Work by Others and Subcontractors <br /> <br />7.1 The Owner may perform additional work related to the Project or may let other direct contracts <br />therefrom which shall contain general conditions similar to these. The Contractor will afford the other <br />contractors who are parties to such direct contracts (or the Owner, if performing the additional work), <br />reasonable opportunity for the introduction and storage of materials and equipment and the execution <br />of work, and shall properly connect and coordinate the Work with other contractors. <br /> <br />7.2 If any part of the Contractor's Work depends upon the work of any such other contractor (or the <br />Owner) for proper execution or results, the Contractor will inspect and promptly report to the Engineer <br />in writing any defects or deficiencies in such work that render it unsuitable for such proper execution <br />and results. The Contractor's failure to report shall constitute an acceptance of the other work as fit and <br />proper for the relationship of his Work except as to defects and deficiencies which may appear in the <br />other work after the execution of this Work. <br /> <br />7.3 The Contractor will do all cutting, fitting and patching of the Work that may be required to <br />make several parts come together properly and fit to receive or be received by such other work. The <br />Contractor will not endanger any work of others by cutting, excavating or otherwise altering other's <br />work and will only cut or alter their work with the written consent of the Engineer. <br /> <br />7.4 Within 10 Calendar Days of execution of this Agreement, the Contractor will submit to the <br />Engineer for acceptance a list of the names of Subcontractors and such other persons and organizations <br />(including those who are to furnish materials or equipment fabricated to a special design) proposed for <br />those portions of the Work for which the identity of the Subcontractors and other persons and <br />organizations must be submitted as specified in the Contract Documents. Prior to the execution of the <br />Work, the Engineer will notify the Contractor in writing if either the Owner or the Engineer, after due <br />investigation, has reasonable objection to any Subcontractor, person or organization on such list. The <br />failure of the Owner or the Engineer to make objection to any Subcontractor, person or organization on <br />the list prior to the execution of the Work shall constitute an acceptance of such Subcontractor, person <br />or organization. Acceptance of any such Subcontractor, person or organization shall not constitute a <br />waiver of any right of the Owner or the Engineer to reject defective workmanship, material, equipment, <br />employees of the Contractor, or Work, material or equipment not in conformance with the requirements <br />of the Contract Documents. <br /> <br />7.5 If, prior to the commencing of the Work, the Owner or the Engineer has reasonable objection <br />to and refuses to accept any Subcontractor, person or organization on such list, the Contractor may, <br />GC 8 <br /> <br /> <br />
