45.2 The duties and obligations imposed by these General Conditions and the rights and remedies <br />available hereunder, and in particular but without limitation, the warranties, guarantees, and obligations <br />imposed upon the Contractor and the rights and remedies available to the Owner and Engineer thereon, <br />shall be in addition to and not a limitation of any otherwise imposed or available by law, by special <br />guarantee or other provisions of the Contract Documents. <br /> <br />45.3 The Contract Documents shall be governed by the law of the place where the Project is located. <br /> <br />45.4 Except as otherwise provided, or approved in writing, Contractor shall not assign this <br />Agreement or sublet it as a whole without the written consent of the Owner; nor shall the Contractor <br />assign any monies due or to become due to it hereunder, without the previous written consent of the <br />Owner. Owner may, however, assign this Agreement to any other party or entity, provided Owner <br />continues to be responsible for the performance by such assignee of all undertakings of the Owner <br />hereunder. Subject to the foregoing, this Agreement shall inure to the benefit of and be binding on the <br />parties hereto and their respective successors and assigns. <br /> <br />45.5 Contractor shall treat all information relating to the Project and all information supplied to the <br />Contractor by the Owner and/or Engineer as confidential and propriety information of the Owner and/or <br />Engineer and shall not permit its release to any other parties or make any public announcement or any <br />publicity releases without the Owner's written authorization. Contractor shall also require <br />Subcontractors and vendors to comply with this Agreement. <br /> <br />45.6 In performing its obligations hereunder, Contractor shall be deemed an independent Contractor <br />and not an agent or employee of Owner and/or Engineer. Contractor shall have the exclusive authority <br />to manage, direct and control the Work subject to the terms and conditions of this Agreement and <br />approval of Owner and/or Engineer as provided herein. Owner is interested in only the results obtained <br />and not in the methods used in achieving the results. <br /> <br />GC 27 <br /> <br /> <br />
