The Company shall provide to the Commission ninety (90) days <br /> written notice of any proposed access channel realignment, and <br /> both parties hereby reserve all rights available to them regarding <br /> such proposed realignment. <br /> <br /> 5. The Company shall provide on a quarterly basis to the <br />Commission a community television programming support payment <br />of up to a maximum of 2.5% of the Company's gross revenues as <br />defined in the Cable Communications Franchise Ordinance, provided <br />that the Commission funds community television programming with <br />up to at least 50% of the franchise fees paid to the Commission <br />from the Company. The community television programming support <br />payment made by the Company each quarter shall equal one-half <br />(1/2) of the Franchise Fee payment being made to the Commission. <br />The first support payment shall be January 2, 1989, (and quarterly <br />thereafter) and shall be one-half (1/2) of the Franchise Fee <br />paid on that date (and quarterly thereafter). It is acknowledged <br />that the January 2, 1989 payment will be based on gross revenues <br />from the third quarter of 1988, with each payment thereafter <br />being calculated (as are the Franchise Fees) on the gross revenues <br />from the quarter before last. <br /> <br /> 6. The Company will provide at the beginning of each calendar <br />year an amount of up to $7,000 for an equipment ~eplacement <br />and repair fund which shall equal the calendar year equipment <br />fund appropriated and escrowed by the Commission.
