The panics t© this!parking Improvement Maintenance Agreement are the City of Ramscy, a Minbesota mCnicipal cOrpOration (the "City") and Ramsey Town Center LLC, a iVlinncsota limited liability company (thd "DeVeloper"). 2. EffectiV~e Date. This ~Agreemcnt is dated and effective as of the __ day of February, 2005. 3. Recitals. 3.1. ~Recital O¢e. :The ]City and the Developer are parties to the City of Ramse¥ Master Development ~grelemen, t fori :Ramse¥ Town Center which is dated as of September 17, 2003 and which w~aS record'ed in :the office of the Anoka County Recorder and the Anoka County Registrar of Titles on September 29, 2003 as Document Nos. 1851364.0 and 446333.0, respectively and are pa~ies to al First : Amendment to Master Development Agreement dated as of the day of . ,200 ~ and recorded in the office of the Anoka County Recorder and the Officl: of the ~oka Co~t~ Registrar of Titles on ,200__ as Document Nos. and , respectively (collectively, the "Master Agreement"). 3.2. Recital TWp. The: ~MaSter Agreement provides for the Developer's development of certaia property located ~n: the City of Ramsey and referred to herein as the "Subject Property". 3.3. Recital Thr~e. The Subject:: Property is zoned "Town Center District" and is subject to Section 9.20.25 of thc City's zgning Ordinance. Section 9.20.25 of the City's zoning ordinance is referred to herein as the "Towri Center District Ordinance." 3.4. R,ecital FoUr. Pursugnt t° Section 9.20.25 of the Town Center District Ordinance the Developer submitt~,A a Devd..10pment Plan for the Subject Property to the City and the City Council approved the Developmpn_t Plan on June 10, 2003. The City approved an Amended Development Plan on' May 11; 2004.
