Case #18:

Consider AdoptiOn of Pa~king improvement Use and Maintenance
Agreement for Ramsey ToWn Center

City Administrator Norman reviewed that City staff and the City Attorney have been working
with Jim Lasher of LSA to complete the Parkin, g Improvement Use and Maintenance Agreement
with Ramsey Town Center LLC. The Pitrking Improvement Use and Maintenance Agreement
has been created to ensure that ~the City's investment in the two parking ramps within the Core
Parking District have an identifiable source of funds for long term Operations and Maintenance
and a defined method to collect:and:diSburse funds for these activities. The Parking
Improvement Use and Maintenance Agreement relies on the development of a Parking Plan
required under the terms of the ~Town Center,ZOning Ordinance to allocate parking stalls within
the two parking ramps the City is constructing :among parcels within a "Parking District" that is
defined in the Agreement. It is anticiPated'that:~the City will be required to amend the Parking
Plan ill connection with each new develOpment within the "Parking District" to refine the
allocation of parking stalls to conform with actual development.

Mr. Bray reviewed the Parking 'Improvement Use and Maintenance Agreement with Ramsey
Town Center, LLC.

Councihnember Elvig asked if there iS any anticiPation that the maintenance of the ramps will be
outsourced.

Assistant Public Works Director Olson replied :City staff will try to perform the maintenance.
The facilities are being designed With maintenance in mind, in that the facilities will have snow
shoots for ease of removal. The design Will either make it easier for the City or they will get
better prices from a contractor to do that work. Generally these things are more efficiently
handled with a contractor that does this work allthe time, but they will determine if staff is able
to maintain it.

Councilmember Elvig explained the reason for his question regarding the maintenance is to
determine if there are any provisions included to be able to extend any costs for necessary capital
outlay.

Mr. Bray indicated Section 7 defines parking maintenance costs and includes the fair market
value of service provided by the City.: If the City is performing the plowing instead of
contracting tile plowing, it is entitled to recover the fair market value of that plowing. By the
same token, tile City must make Sure if it is doing the work the costs are in line with the costs in
the market.

Mayor Gamec inquired if the ploWing equipment would be used for other areas in the City as
well.

Public Works Director Kapler replied the ratio would be about 70/30. Town Center will be the
ilrst big snow removal exercise inRamseY.'

City CounCil/February 22, 2005
Page~26 of 31
