ARTICLE I <br /> <br />DEFINITIONS AND INTERPRETATION <br /> <br /> Section 1.01 Definitions. Unless the context otherwise requires, the terms defined in tkis <br />Article I and in the recitals and succeeding Articles of this Indenture shall, for all purposes of tiffs <br />Indenture and of any indenture supplemental hereto, have the meanings herein specified; and any <br />term defined in the Lease wkich is used but not otherwise de£med herein shall have the meaning <br />in tiffs Indenture as is prescribed for that term in the Lease. <br /> <br /> Act: collectively the Issuer Powers Act and the City Powers Act, as amended from time <br />to time. <br /> <br />Additional Rent: rent payable for the purposes provided for in Secti'on 5.3 of the Lease. <br /> <br /> Beneficial Owner: means the person for which a DTC Participant holds an interest in the <br />Bonds as shown on the books and records of the DTC Participant. <br /> <br />Board: the Board of Commissioners, the governing body, of the Issuer. <br />Bond Fund: the Bond Fund created under Section 5.02. <br /> <br />Bond 'Register: the register maintained by the Trustee pursuant to Section 2.04. <br /> <br /> Bond Resolution: the resolution adopted by the Issuer Board on May 24, 2005, <br />author/zing the issuance and sale of the Seres 2005A Bonds, as the same may be amended, <br />modified or supplemented. <br /> <br /> Bonds: the Series 2005A Bonds. <br /> <br /> Cede & Co.: means, initially, Cede & Co., as nominee of DTC and any successor or <br />subsequent such nominee designated by DTC. respecting DTC's functions as book-entry <br />depository for.the Bonds. <br /> <br /> Certificate: a certification in writing required or permitted by the provisions of the Lease <br />or the Indenture, signed and delivered to the Trustee or other proper person or persons. <br /> <br /> Certified Resolution: a copy of a resolution of the Issuer Board, certified by the Issuer's. <br />Vice Chair or other appropriate official to have been duly adopted by the Issuer Board and to be <br />in full force and effect on the date of such certification. <br /> <br /> City_: the City of Ramsey, Minnesota, a municipal corporation and political subdivision <br />of the State of Minnesota. <br /> <br /> .City Powers Act.: Minnesota Statutes, Sections 465.71 and 469.041, as from time to time <br />amended.
