City Representative: the City Administrator, Assistant City Administrator, or any other <br />pcL'stm at any time designated in writing by the City to act in such capacity as evidenced by a <br />written certificate furnished to the l~ssuer and .the Trustee containing the specimen signature of <br />s~mh person and signed for the City by the Mayor. <br /> <br /> Collateral Document: collectively, the Lease, the Ground Lease and any other security <br />i~strunmnts now or hereafter given to the Trustee by the Issuer or the City to secure the Bonds. <br /> <br />Completion Date: the date certified as provided in Section 3.5 of the Lease. <br />Construction Fund: the Construction Fund created under Section 4.02. <br /> <br /> Construction Period: the period between the beginning of construction of the Project or <br />the date on which the Series 2005A Bonds' are first delivered to the purchaser thereof, whichever <br />is earlier, and the Completion Date. <br /> <br />Date of Original Issuance: June 1, 2005. <br /> <br /> Default: a default by the Issuer in the performance or observance of any of the <br />cm/enants, agreements or conditions on its part contained in this Indenture, exclusive of any <br />re)rice or period of grace required to constitute a default an "Event of Default" as described in <br />Section 7.01. <br /> <br /> DTC: means Depository Trust Company, New York, New York, a limited purpose trust <br />company organized under the laws of the State of New York, or any successor book-entry <br />securities depository for the Bonds appointed pursuant to Section 2.09. <br /> <br /> DTC Participant: means those broker-dealers, banks and other financial institutions from <br />time to time for which DTC holds Bonds or Securities as depository. <br /> <br /> Event of Default: an Event of Default described in Section 7.01 which has not beer~ <br />cured. <br /> <br /> Financial Newspaper or Financial Journal: Northwestern Financial Review or any other <br />newspaper or.journal devoted to financial n~w4 circulated in the English language in <br />Minneapolis and Saint Paul, Minnesota. <br /> <br /> Fiscal Year: the fiscal year of the City, currently being the 12-month period commencing <br />January 1 in each year and ending on December 3 I, of the same year. <br /> <br />Funds: the Bond Fund, Construction Fund and Reserve Fund. <br /> <br /> Govenunent Obligations: direct obligations of the United States of America or <br />o~ligations the full and timely payment of the principal of and any interest on which is <br />anconditionally guaranteed by the United States of America. <br /> <br /> Ground Lease: the Ground Lease Agreement dated as of June I, 2005 between the City as <br />it::;~or, and the Issuer as lessee, whereby the City. leases the Land to the Issuer. <br /> <br />1763903v{ <br /> <br />8~ <br /> <br /> <br />
