18 <br /> <br />ARTICLE <br /> <br />DEFINITIONS AND EXHIBITS <br /> <br /> Section 1.1. Definitions. Each term defined in the Indenture whiCh is used but not <br />otherwise del'reed herein shall have the same meaning in this Lease as is prescribed for that term <br />in the Indenture. Unless the context otherwise clearly requires, the terms defined in t/tis Section <br />shall, for ali purposes of this Lease, have the meanings herein speciied. <br /> <br /> Act: Collectively, the Landlord Powers Act and the Tenant Powers Act, as amended <br />from time to time. <br /> <br />Bond Closing: The da~e the Bonds are issued and delivered to the 0_rigjnal purchaser. <br /> <br /> Bond Counsel: The firm of Bdggs and Morgan, Professional Association, in St. Paul and <br />Minneapolis,/Vlinnesota, or any other law firm nationally recognized as bond counsel in the <br />municipal bond industry. <br /> <br />Bond Fund: The Bond Fund created pursuant to Section 5.02 of the Indenture. <br /> <br /> Bond Resolution: The resolution adopted by the Landlord's Board of Commissioners, its <br />governing body, on May 24, 2005, authorizing issuance and sale of the Series 2005A Bonds, as <br />the same may be amended, modified or supplemented by any amendments or modifications <br />thereof. <br /> <br />Bonds: The Series 2005A Bonds. <br /> <br /> Bus/ness Day: Any day other than a Saturday, Sunday, legal h0iiday or a day on which <br />bank/ng institutions in the city [n which the principal corporate office of the Trustee is located <br />are authorized by law or executive order to be closed. <br /> <br />Ci_L.i~: The City of Ramsey, Minnesota. <br /> <br /> Code: The Internal Revenue Code of ~986, as amended. <br /> <br /> Completion Date: The date described in Section 3.5, evidencing completion of the <br />Project. <br /> <br /> Construction Fund: The Construction Fund created pursuant to Section 4.02 of the <br />Indenture for the purpose of accounting for proceeds of the Bonds' used to pay Project Costs. <br /> <br /> Contractor: Any contractor from which Tenant has ordered'or will order or wittt which <br />Tenant has contracted or will contract for the acquisition, construction and installation of any <br />portion of the Project. <br /> <br /> Date of Original Issuance': June 1, 2005..
