Environmental Law: The Comprehensive Environmental Response, Compensation and
<br />Liability Act, 42 U.S.C. {}9601 et seq.; the Resource Conservation and Recovery Act, 42 U.S.C.
<br />t}690l et seq.; the Hazardous Materials Transportation Act, 49 U.S.C. App. § 1804 et seq., the
<br />Federal Water Pollution Control Act, 33 U.S.C. §1251 et seq., the Clean Water Act, 33 U.S.C.
<br />!} 1321 et seq. the Clean Air Act, 42 U.S.C. §7401 et seq., the Minnesota Environmental
<br />Re.~ponse and Liability Act, Minnesota Statutes, Chapter 115B, the Minnesota Petroleum Tank
<br />Release Cleanup Act, Minnesota Statutes, Chapter 115C, and any other federal, state, county,
<br />municipal, local or other statute, law, ordinance or regulation which may relate, to or deal with
<br />huma~ health or the environment, all as may be from time to time amended.
<br />
<br /> Fiscal Year: The fiscal year of the Tenant, commencing January I of a given year and
<br />ex. tending through December 31 of the same year.
<br />
<br /> Governmental Unit: A "governmental unit" within the meaning of-Section 141 of the
<br />Cf)dc.
<br />
<br /> Ckound Lease: The Ground Lease Agreement, dated as of June 1, 2005; between Tenant,
<br />as lessor and Landlord, as lessee, whereby Tenant leases the Land to Landlord.
<br />
<br /> H~ardous Substances: Asbestos, ureaformaldehyde, polychlorinated biphenyls
<br />("PCBs"), nuclear fuel or material, chemical waste, radioactive material, explosives, known
<br />carcinogens, petroleum products and by-products and other dangerous, toxic or hazardous
<br />pollutants, contaminants, chemicals, materials or substances listed or identified in, or regulated
<br />by, any Environmental Law.
<br />
<br /> Holder(s): The registered owner(s) of Bonds on the bond register maintained by the
<br />Trustee pursuant to the Indenture.
<br />
<br /> Independent Counsel: An attorney duly admitted to the practice of law before the highest
<br />court of the State who is not a full-time employee of Landlord or Tenant.
<br />
<br /> k~depeadent Engineer: An engineer or engineering fkm or an architect or architectural
<br />~irm qualified to practice the profession of engineering or architecture under the laws of the State
<br />;.md who is not a full-time employee of Tena.q.t or Landlord.
<br />
<br /> Indenture: The Indenture of Trust, dated as of June 1, 2005, between the Landlord and
<br />U.S. Bank National Association, St. Paul, Minnesota, as initial Trustee thereunder, pursuant to
<br />wifich the Series 2005A Bonds are issued.
<br />
<br /> Interest Payment Date: For the Series 2005A BOnds, each June 15 and December 15,
<br />commencing June 15, 2006.
<br />
<br /> Land: The real property subleased to the Tenant under the Ground Lease and described
<br />Exhibit A hereto. -'
<br />
<br /> L___~dlord: Economic Development Authority of the City °fRamsey, Minnesota, a.pubtic
<br />body corporate and politic of the State.
