PROFESSIONAL SERVICES AGREEMENT • <br />FOR THE CITY OF RAMSEY <br />THIS AGREEMENT is made effective this day, January 01, 2006, by and between <br />Alexandra House, Inc. a Minnesota Non -Profit Corporation, 10063 3`d St NE, P.O. Box <br />49039, Blaine, MN 55449 ("Consultant"), and the City of Ramsey, a Minnesota <br />Municipal Corporation, 15153 Nowthen Blvd NW, Ramsey; MN 55303 ("City"). <br />WHEREAS, the CITY agrees to engage the professional services of Alexandra House <br />advocates to provide direct service and systems advocacy to battered women and families <br />including criminal and civil court advocacy, crisis intervention, support, general <br />advocacy, referral and education; collaborate with police and prosecution on behalf of <br />victims of domestic assault. <br />NOW THERFORE THE PARTIES HERETO AGREE AS FOLLOWS: <br />CONSULTANT agrees to provide services for the CITY commencing on January <br />01, 2006. <br />2. CONSULTANT agrees to supply all equipment, tools, and materials for the <br />performance of the above -mentioned services. <br />3. CONSULTANT agrees to hold harmless and indemnify the CITY from all claims, <br />suits, actions, costs, counsel fees, expenses, damages, judgments or decrees, by <br />reason of any person or persons or property being injured or damaged as a result <br />of any services performed as a consultant on behalf of the City of Ramsey. <br />4. CONSULTANT agrees to take no action which would adversely affect this <br />agreement, including but not limited to: failure to file its own quarterly <br />withholdings, failure to provide for its own workers' compensation insurance, or <br />the filing for unemployment compensation against the CITY for services <br />performed under this Agreement. <br />5. In return for CONSULTANT'S professional services, the CITY agrees to pay <br />CONSULTANT a total of $6,500.00 for services rendered for the year of 2006. <br />The consultant will bill the City of Ramsey $1,625.00 quarterly for services <br />rendered. It is agreed that CONSULTANT is entitled to no other compensation or <br />benefits. <br />7. The CONSULTANT agrees to complete requested work for the City of Ramsey <br />in a timely fashion. <br />S. CONSULTANT agrees to submit mid -year and year-end reports documenting the <br />services provided. <br />• <br />—200— <br />
