2

As we look forward, the disposal market has some uncertainty. Anoka County, due to Federal Court
rulings on interstate commerce, is not renewing its 20 plus year processing agreement with NRG. The
current agreement ends on August 19, 2009. We believe the processing facility will remain open, but
under new ownership. Regardless, no new agreements have been signed. If the current plant closes, we
may need an expanded transfer station to move MSW to the best disposal facility. We expect a clear
direction on this issue within two years.

This option would result in a request to combine the subject property with our current property.

Option 2: Construction of a 12,000 square foot shop. We made our current facility large enough to
handle most of our growth, but we can see the day when we need more truck repair bays. To fulfill this
need, we would construct a shop on the property to house our container repair and truck painting
operations.

Under option 2, the land would remain a separate parcel.

ACE Solid Waste will continue to grow. Ever changing government regulation (primarily State driven)
makes the exact nature of our space needs hard to define. The acquisition of this property by ACE Solid
Waste will result in more high paying jobs and $500,000 to $750,000 in added tax base to the community.

Our offer for purchase remains the same:

· Completion of a purchase agreement as soon as practical
,, A total purchase price of $275,000
· $10,000 in non-refundable earnest money and $265,000 cash upon completion of the remediation.
· Following completion of the sale, ACE will landscape and maintain the property in a manner that
improves the neighborhood until the building is built. Final landscaping will be completed as part
of the building construction.
· We are not asking for any TIF or other assistance from the City.

I look forward to discussing the next step required to complete the transaction.

Sincerely,

Mike Berkopec
General Manager

Cc: Andy Schweizer

(P) 763-427-3110 (F) 763-427-1691

www.acesolidwaste.com LEADER~-
SERVICE
13
