The following shall be a part of each of the foregoing Schedules: S-I shall be responsible for its normal overhead expenses and the costs of preparing the Official Statement; but shall not be responsible for other issuance costs including: (i) printing and distribution of the Official Statement, (ii) publication costs of Official Notices, (iii) legal fees, (iv) printing of the Issue, (v) delivery and settlement costs, (vi) travel expenses, except S-Ps travel expenses incurred between the Client's and S-l's respective offices, (vii) rating fees, and, (viii) other expenses necessarily incurred for the Issue. S-I's fee shall be due and payable upon receipt of the proceeds of the Issue, except that in the event (i) no offer is received or accepted, or (ii) an award is made of the Issue but, by no fault of S-I, it becomes impossible to make delivery within the time specified, S-I shall be considered to have fully discharged its responsibility pursuant to this Contract and S-Ps full fee shall be due. If thereafter a delivery of the Issue is completed S-I shall be entitled to no further fee for the completion of any of the Services, unless the Service is an Additional Service pursuant to Section III hereinafter. Should an Issue be abandoned, without fault of S-I, S-I shall be compensated forthwith for the Services performed by it to the point of abandonment as if those Services were Additional Services pursuant to Section I11 hereinafter. An Issue shall be deemed to have been abandoned whenever no affirmative action has been taken relative to the Issue for a period of one year, or there has been an overt act of abandonment. -3-
