III. Additional Services <br /> <br />In the event the Client requests, and S-I performs on behalf of the Client, a service other <br />than one of the foregoing Services, I. A through I, or should S-I repeat any of the Services, <br />which repetition is not the fault of S-I, such service shall be an "Additional Service" for <br />which S-I shall be compensated at the following hourly rates, plus reasonable and <br />customary expenses: <br /> <br /> A. Senior Officer Time ~;100 C. Computer Time $:30 <br /> B. Officer Time $ 75 D. Service Time $15 <br /> <br />Billings by S-I for an Additional Service shall be as it is completed. <br /> <br />IV. <br /> <br />Advance Refunding <br /> <br />None of the fees of this Contract shall be applicable to an advance refunding issue, the <br />fee for which shall be negotiated between the Client and S-I. <br /> <br />Fees due S-I pursuant to this Contract, except those to be negotiated, shall be based upon <br />the rates stated herein for not less than one year from the date this Contract is submitted <br />to the Client by S-I. At any time after the expiration of one year from said date of <br />submission any or all of the rates shall be subject to adjustment by S-I upon notification to <br />the Client, except however there shall not be an increase over the then current rote for an <br />Issue for which o Notice of Sole has been published. <br /> <br />VI. S-I shall not participate directly or indirectly in the purchase or resale of any Issue. <br /> <br />VII. This Contract shall not prohibit the Client and S-I from entering into a separate contract <br /> relative to a specific Issue or project. <br /> <br />VIII. S-I agrees to abide by the requirements of Title VI of the Civil Rights Act of 196~. <br /> <br />IX. <br /> <br />Any reports, information, data, etc. given to, or prepared or assembled by, S-I under this <br />Contract which the Client requests be kept confidential shall not be made available to any <br />individual or organization by S-I without the Client's prior written approval. <br /> <br />All finished or unfinished documents, data, studies, surveys, drawings, maps, models, <br />photographs, and reports prepared by S-I shall, at the Client's option, become the Client's <br />property. <br /> <br />XI. <br /> <br />For the purpose of this Contract, S-I shall be deemed to be an independent contractor and <br />not an employee of the Client. Employees of S-I, shall not be considered the Client's <br />employees; and any claims that may or might arise under any workmen's compensation act <br />on behalf of S-Ps employees while engaged in the performance of services for the Client, <br />and any claims made by any third party as a consequence of any act or omission on the <br />part of S-l's employees or other persons while so engaged by S-I in the performance of <br />services rendered under this Contract, shall not be the Client's obligation or responsibility. <br /> <br />XII. <br /> <br />S-I warrants that it has not employed or retained any company or persons, other than bona <br />fide employees working solely for S-I, to solicit or to secure this Contract and that S-I has <br />not paid or agreed to pay any company, or person, any fees, commission, percentage, <br />brokerage fee, gifts or any other consideration contingent upon or resulting from the <br />award of this Contract. For a breach or violation of this warranty the Client shall have <br />the right to annul this Contract without liability or in the Client's discretion to deduct <br />from the Contract price or consideration, or otherwise recover, the full amount of such <br />fee, commission, percentage, brokerage fee, gift or contingent fee. <br /> <br />-4- <br /> <br /> <br />
