Del~ruyn, Administrator, - PA CT Charter School, 2006-2007 FtELD USE AGREEMENT PACT Charter Schoo! and the City of Ramsey This lease agreement is entered into between the City of Ramsey, MN, hereinafter referred to as the "City", and PACT Charter School, hereinafter referred to as the "School", acting by and through their duly authorized representatives, respectfully. FOR AND IN CONSIDERATION of the mutual undertakings hereinafter set out, the parties agree as follows: II. III. DESCRIPTION OF PREMISES The City agrees to permit the use of its field presently known as "South Park" with map attached here to as Exhibit "A" and made a part here of for all purposes, hereinafter called "Premises", for the term of this agreement. IV. TERM The term of this agreement shall begin on July 1st, 2006 or upon acceptance of the park by the City for public use, which ever occurs later and continue in good faith until either party indicates otherwise foi' the purpose of using the Premises for organizing and implementing athletic and school related activities. The School shall pay for such use the sum as determined by this contract, payable in advance, upon the covenants and conditions as follows. At any time during the term of this agreement, either party may cancel by giving ninety (90) calendar days written notice to the other party. This right to cancel is exercisable with or without an occurrence of default as provided in paragraph XIV hereof. ASSIGNMENT/SUBLEASE The School shall not assign this lease agreement nor shall it sublease or rent out any property of the Premises without prior written consent of the City. VI. USE OF PREMISES The School shall not engage in any business on the Premises or do anything in connection therewith which shall be in violation of any existing state or federal law or municipal ordinances, or use the same in such manner as to constitute a nuisance. The City reserves the right to exclude any individual or group from the Premises based on conduct, which it determines in its sole discretion to be objectionable or contrary to City interests. The School hereby consents to the exercise of such authority by the City over its officials, agents and members. NON-DISCRIMINATION During the performance of its respective duties and responsibilities, as related to the execution of this agreement, the School shall not discriminate on the basis of race, creed, color, age, national origin, religion, sex or disability in accordance with current state or federal laws. INDEMNIFICATION/INSURANCE The City shall not be liable to the School or its agents, officials, employees, contractors, members and participants for any damage to person or property caused by an act of negligence or malfeasance of the School or the its agents, officials, employees, contractors, members or participants, and the School agrees to indemnify and hold harmless the City, its agents, officials and employees and any umpire or official from any and all claims for any such damage arising out of the activities of the School, its agents, officials, employees, contractors, members and participants.
