O. Termination. The City reserves the right to terminate this A~reement i f the City, in its sole discretion, determines that the quality of the ncwr~leLter fails to meet the standards as contained in this Agreement and in Lh~' ,~nderstandings reached between the parties. Termination shall be effective 90 days after the City gives notice in writing to the Contractor. The Contractor may terminate this Agreement upon giving 30 days' written notice to the City if the Contractor can establish to the City's satisfaction its innbility to raise adequate advertising revenue from the newsletter. Contractor must demonstrate that it has exerted a diligent effort to obtain such 10. Proposal.. The request for proposals and the Contractor's proposal are deemed to be a part of this Contract. Any inconsistencies between the c,~n~ract, request fo~ proposal or proposal, shall be resolved in favor of the provision most favorable to the City. 11. Independent Contractor. It is understood and agreed that th~ Contractor is an independent contractor and is not an employee of the City or any other participating organization. As such the Contractor agrees to save and hold harmless the City and the participationg organizations from any and ali claims which may arise out of the Contractor's performance of this Contract. 12. O__,ity of Ramsey Editor: It is understood and agreed upon that the CJLy or its dcsi;~nated representative holds sole editorial rights to all informntion provided in the newsletter and is responsible for its insertion or deleLion.
