RESOLUTION NO. 81-188 <br /> <br />RESOLUTION RELATING TO A $380,000 CITY OF <br />RAMSEY, MINNESOTA, INDUSTRIAL DEVELOPMENT <br />REVENUE NOTE; AUTHORIZING THE ISSUANCE <br />THEREOF PURSUANT TO MINNESOTA STATUTES, <br />CHAPTER 474. <br /> <br /> BE IT RESOLVED by the City Council of the City of Ram- <br />sey, Minnesota, as follows: <br /> <br />Section 1. Definitions. <br /> <br /> 1.01. In this Resolution the following terms have the <br />following respective meanings unless the context hereof or <br />use herein clearly requires otherwise: <br /> <br /> "Act" means the Minnesota Municipal Industrial <br />Development Act, Minnesota Statutes, Chapter 474, as <br />amended; <br /> <br /> "Addition" means the Addition as defined in the <br />Agreement; <br /> <br /> "Agreement" means the Loan Agreement, dated as of <br />November 1, 1981, to be entered into among the Issuer, <br />the Lender and the Borrower; <br /> <br /> "Assignment" means the Assignment of Rents and <br />Leases, dated as of November 1, 1981, between the Bor- <br />rower and the Lender; <br /> <br /> "Borrower" means Super Bowl, Inc., a Minnesota <br />corporation, its successors and assigns; <br /> <br /> "Construction Costs" means those costs defined as <br />Construction Costs in the Agreement; <br /> <br /> "Equipment" means the Equipment as that term is <br />defined in the Agreement; <br /> <br /> "Guarantors" means Charles F. Inderieden, Joseph E. <br />Booth, and Robert G. Troumbly, jointly and severally, as <br />individuals residing in the State of Minnesota, and <br />their heirs, legal representatives and assigns; <br /> <br /> "Guaranty" means the Guaranty Agreement, dated as <br />of November 1, 1981, between the Guarantors and the <br />Lender; and the Guaranty Agreement dated as of November 1, <br /> 198]. between the Guarantor and the Issuer; <br /> <br />- 2 - <br /> <br /> <br />
