"Holder" means the Lender and any subsequent holder <br />of the Note; <br /> <br /> "Issuer" means the City of R~msey, a municipal <br />corporation and political subdivision of the State of <br />Minnesota, its successors and assigns; <br /> <br /> "Land" means the real property described in the <br />Mortgage; <br /> <br /> "Lender" means First National Bank in Anoka, in <br />Anoka, Minnesota; <br /> <br /> "Loan and Carrying Charges" means the costs defined <br />as Loan and Carrying Charges in the Agreement; <br /> <br /> "Mortgage" means that certain Mortgage and Security <br />Agreement and Fixture Financing Statement, given by the <br />Borrower to the Lender, dated as of November 1, 1981; <br /> <br /> "Note" means the $380,000 principal amount Indus- <br />trial Development Revenue Note (Super Bowl, Inc. Proj- <br />ect), Series 1981, dated as of November 1, 1981, issued <br />by the Issuer to the Lender pursuant to the Resolution; <br /> <br /> "Organizational Documents" means the following <br />documents, each of which shall be in form and substance <br />acceptable to the Lender: <br /> <br /> (a) certified copies of the Articles of Incorpora- <br />tion and Bylaws of the Borrower, together with all <br />amendments thereto; <br /> <br /> (b) such certificates and other documents as the <br />Lender may reasonably require to show the Borrower's <br />authority with respect to the transactions contemplated <br />by the Agreement and the other Collateral Documents (as <br />defined in the Agreement); and <br /> <br /> (c) an opinion or opinions of Counsel indicating <br />that each of the Collateral Documents (as defined in the <br />Agreement) to be executed by the Borrower has been duly <br />executed and delivered and is the legal and binding <br />obligation of the Borrower, enforceable in accordance <br />with its terms; <br /> <br /> "Pledge Agreement" means the Pledge Agreement, <br />dated as of November 1, 1981, between the Issuer and the <br />Lender; <br /> <br /> "Project" means the Addition to be acquired and <br />constructed on the Land, as defined in the Agreement; <br />and <br /> <br />- 3 - <br /> <br /> <br />
