FIELD USE AND LIMITED CROSS-PARKING AGREEMENT <br /> PACT Charter School and the City of Ramsey <br /> This agreement is entered into between the City of Ramsey, MN, hereinafter referred to as the <br /> "City", and PACT Charter School, hereinafter referred to as the "School", acting by and through <br /> their duly authorized representatives, respectfully. FOR AND IN CONSIDERATION of the <br /> mutual undertakings hereinafter set out,the parties agree as follows: <br /> I. DESCRIPTION OF PREMISES <br /> The City agrees to permit the use of certain park areas known as Loral I Armstrong <br /> Delaney Central Park, hereinafter called "Park", for the term of this agreement, (map of Park and <br /> School attached) as Exhibit"A" and made part here for all purposes for the term of this agreement. <br /> II. TERM <br /> The term of this agreement shall be effective as of November , 2023 (the "Effective <br /> Date"), and shall continue in good faith until either party cancels or terminates this agreement in <br /> accordance with the terms set forth in this agreement. The purpose of this agreement is for using <br /> the Park for organizing and implementing athletic and school related activities and for using the <br /> School's parking lot(s) by specially permitted athletic associations or for public use by the City <br /> as described below. The School shall pay for such use the sum as determined by the City's <br /> established rates and charges, payable annually. At any time during the term of this agreement, <br /> either party may cancel by giving ninety (90) calendar days advance written notice to the other <br /> party. This right to cancel is exercisable with or without an occurrence of default as provided in <br /> paragraph XXI hereof; provided,however, in the event that City cancels not due to an occurrence <br /> of default,the City shall refund to the School a prorated portion of any annual fee paid in advance <br /> by the School. <br /> III. ASSIGNMENT/SUBLEASE <br /> The School shall not assign this agreement nor shall it sublease or rent out any property of <br /> the Park without prior written consent of the City. <br /> IV. GENERAL USE OF PARK <br /> The School shall not engage in any activity on the Park or do anything in connection <br /> therewith which shall be in violation of any existing state or federal law or municipal ordinances, <br /> or use the same in such manner as to constitute a nuisance. The City reserves the right to exclude <br /> any individual or group from the Park based on conduct, which it determines in its sole discretion <br /> to be objectionable or contrary to City interests. The School hereby consents to the exercise of <br /> such authority by the City. <br /> V. GENERAL USE OF SCHOOL PARKING LOTS <br /> Any permitted users of the School parking lots shall not engage in any business on the <br /> premises or do anything in connection therewith which shall be in violation of any existing state <br /> or federal law or municipal ordinances, or use the same in such manner as to constitute a nuisance. <br /> 1 <br />
