3. Public Information. The City shall be responsible for providing information to the <br />public to promote the Ramsey Coach Service. <br />C. Other Parties. <br />1. General. The City acknowledges and agrees that the NCDA is relying upon the services <br />of certain other governmental units in order to perform its duties under this Joint Powers <br />Agreement. In the event that services of such a governmental unit are unavailable for any <br />reason, the parties agree to negotiate in good faith to attempt to replace the services of such <br />governmental unit. If replacement of such services is not feasible, the parties may terminate <br />or renegotiate the terms of this Joint Powers Agreement. <br />2. Metropolitan Council. It is the understanding of the Parties that the. Metropolitan <br />Council will provide the following services: <br />a) 5th Street Transit Station. Metro Transit, on behalf of the Minnesota Department <br />of Transportation, will provide access to and will maintain the terminus of the route at the <br />5th Street Transit Station in downtown Minneapolis. <br />b) Farebox Recovery. Metro Transit, on behalf of the Metropolitan Council, will <br />collect and redistribute the convenience fare sales revenues for the Ramsey Coach <br />Service to the NCDA in accordance with an Agreement for Transit Convenience Fares <br />Reimbursements. <br />3. Anoka County. It is the understanding of the Parties that Anoka County will provide the <br />following services: <br />a) Operations. Anoka County's Transit Office will manage the Laidlaw Contract and <br />perform the NCDA's duties under this Joint Powers Agreement. <br />b) Budgeting and Accounting Services. Anoka County, through its agreement with <br />the NCDA, will provide budgeting and accounting services necessary to manage the <br />funds, including city contributions and grant monies. Such services shall include, but not <br />be limited to management of all funds, including City contributions and grant monies, <br />payment for contracted services, and relevant bookkeeping and recordkeeping. All <br />pertinent books, records, documents, and accounting procedures and practices shall be <br />maintained by Anoka County and made available to the NCDA and the City, and the <br />State Auditor or the Legislative Auditor, as appropriate, upon reasonable notice and shall <br />be retained for a period of six years. <br />IV. TIMETABLE <br />The parties shall make good faith efforts to observe the following timetable in performing their respective <br />duties: <br />A. City's Notice to Exercise Option: No later than 9:00,a.m. on November 27, 2006, the City <br />shall give notice to the NCDA's Authorized Representative requesting that the NCDA exercise its <br />option for the Ramsey Coach Service, which expires on November 28, 2006. <br />B. Extension of Option Period. If the City requests an extension of the expiration date of the <br />option for the Ramsey Coach Service and Laidlaw agrees to such an extension, the City shall be <br />responsible for all costs associated with such extension of the option. <br />C. NCDA Exercise of Option: Upon receipt of the City's notice provided in accordance with <br />Paragraph A above, the NCDA shall exercise the Ramsey Coach Option by the close of business <br />on November 28, 2006. <br />3 <br />
