Transit Services, Inc. (Contract No. 2006- 0242), attached to this Agreement as Exhibit 1 and incorporated <br />as part of this Joint Powers Agreement (hereinafter "Laidlaw Contract "). <br />A. Routes. The Ramsey Coach service will originate in the City of Ramsey, at the Ramsey <br />Town Center Park and Ride Facility (Ramsey Municipal Parking Ramp, 7650 Sunwood Drive <br />NW, Ramsey, MN 55303). The Fifth Street Transit Station is the Minneapolis terminus of the <br />Ramsey Coach Service. The afternoon outbound trips will originate at the Fifth Street Station but <br />will also stage along Third Avenue North behind the Fourth Street Garage. The return trips will <br />follow the route of the inbound trips and terminate at the Ramsey Town Center Park and Ride <br />Facility. <br />B. Trips. Inbound trips will commence at regular intervals at the Ramsey Town Center Park <br />and Ride Facility at approximately 5:25 a.m. and will conclude at approximately 8:15 a.m. at the <br />Fifth Street Transit Station in downtown Minneapolis. There will be four inbound trips each <br />regular business day. Outbound trips will commence at the First Street Station in downtown <br />Minneapolis at approximately 3:30 p.m. and will conclude at the Ramsey Town Center Park and <br />Ride Facility at approximately 6:35 p.m. There will be four outbound trips each regular business <br />day. <br />C. Modifications. Modifications to the route and schedule may occur after discussions between <br />the parties and Laidlaw, if mutually agreeable. <br />III. ROLES AND RESPONSIBILITIES <br />A. NCDA <br />1. Exercise of Option. Upon written request of the City, the NCDA shall exercise the <br />option for the Ramsey Coach Service in the Laidlaw Contract for services to be provided <br />through March 31, 2009. <br />2. Operation of Service. The NCDA shall manage the Ramsey Coach Service pursuant to <br />the Laidlaw Contract. <br />3. Farebox Recovery. The NCDA shall negotiate and enter into an Agreement for Transit <br />Convenience Fares Reimbursements with the Metropolitan Council regarding farebox <br />recovery for the Ramsey Coach Service. <br />4. Reports. The NCDA shall track ridership, farebox recovery, capital and operating costs, <br />operating cost and subsidy per passenger on a form similar to Exhibit B of the RFP, which <br />has been incorporated into the Laidlaw Contract. The NCDA shall make a report to the <br />Ramsey City Manager monthly. The report shall contain the above information along with <br />the invoice for the prior month's service. <br />B. City <br />1. Ramsey Park - and - Ride Facility. The City shall provide access to and maintain, at no <br />cost to the NCDA, a park- and -ride facility at the Ramsey Town Center, 7650 Sunwood Drive, <br />Ramsey, Minnesota 55303. <br />2. Payment. The City shall pay all of the NCDA's direct costs associated with the Ramsey <br />Coach Service in accordance with Section V of this Joint Powers Agreement. In addition to <br />said direct costs, the City shall pay to the NCDA the sum of Eight Hundred Thirty-three <br />dollars and 33/100ths ($833.33) per month for the services provided pursuant to Sections <br />III.A. and III.C.3. of this Joint Powers Agreement. <br />2 <br />
